Can anyone tell me why VRII is trading at such a discount? I posted this question ealier, but no one responded, so I will ask it again and hope for an answer.

News: TCEL is acquiring VRII in a stock swap, 1.55 shares of TCEL common + 0.2 TCEL warrants per share of VRII. Now, forgetting about the warrants, TCEL is trading at 3 5/8, therefore VRII's common stock value is at least 5 5/8. Right? And its trading at 4 11/16 x 4 3/4 right now. Should I buy some VRII at 4 3/4???
