Later I may have questions about the nature of the 'Class A convertible preferred' of 11th hour, and perhaps those of other subsidiaries as well.

Last night jhild and I had a look at the original act of incorporation for Eleventh Hour. The company has authorized 100 million shares of common, and 100 million shares of preferred. The preferred is convertible to CSHK common 45 days after issuance. Since the status of the letter of intent negotiated with Merced is unclear, we don't know whether any preferred has actually been issued to date.

Another nagging question: As we have seen, Merced incorporated on 11 May 1998, two days ago. Yet they are referred to in several company press releases from March and April as "Merced, Inc." Which in fact they were not. Would Rebecca care to comment on the legal implications of this?
