I think that it is purely mismanagement, and that it had gotten to the point where the IRS would no longer negotiate with the principals of Myriad. I am positive that the company is profitable. For it not to be would be completely idiotic. Both from the company, and the original letter of intent, they had complete access to their books, and an audit was done before the deal was signed.

.....Dave.....They spent the cash! Probably on big salaries. The profits were gone. IRS audited them, saw how they were spending their money, got mad, refused to deal with them, forcing the sale of the company.
