David, I took a very quick look and conclude the following - Pacer bought for the cost of inventory, $5mm of which is either raw materials or finished goods, leaving only 1/2mm as work in process. No cost for equipment, distribution, etc. 500k in debt service which does not dilute us (yay!)but does impact the bottom line on the pro forma. No way to tell yet what the consolidation of operations will mean to the earnings per share but, looking at the old owners cost structure and eliminating most of the overheads and debt service or obligations the bottom line results can range from very, very good to "kick-ass" wonderful. We'll see more in about 6 months. I think this is a very smart and safe deal and I wish I owned the whole darned company.
