Reason I thought that was that I've played a little fast and loose with the paperwork myself, I once bought a piece of land with an entity that didn't exist at the time of the deal, but by the time of the closing it did, and nobody ever knew or cared when it was started up. Now if the incorporation hadn't gone through, or the cheque had bounced, or the land had turned out to be a toxic waste dump - somebody would have cared, and it would have made a difference. But paperwork by itself is no big deal, imho, it is just a long grinding process that gets itself done somehow and then you end up with a great whacking lawyer's bill.

The relationship of the principals of these 'companies' is quite interesting, I wonder how much can be found out about their previous histories - and perhaps previous dealings with each other.
