Cineplex Odeon, Loews Theater Close $1B
Merger

NEW YORK -- Cineplex Odeon Corp. (CPX) completed its $1 billion
merger with Sony Corp.'s (SNE) Loews Theatres Exhibition Group to
form Loews Cineplex Entertainment Corp.

In a press release Thursday, the movie-theater chains said the new
company will begin trading Friday under the symbol LCP on the New
York Stock Exchange and the symbol LCX on the Toronto exchange.

Travis Reid was named president of the new company's U.S. operations
and John J. Walker was named senior vice president and chief financial
officer.

Loews Cineplex has obtained a $1 billion senior credit facility, to be used to finance the deal and for other working capital needs.

Reid was formerly president of Loews Theatres and Walker was formerly
senior vice president, finance for Loews.

As a result of the merger, Sony Pictures Entertainment owns 51.1% of
Loews Cineplex's shares, representing a 49.9% voting stake.

Universal Studios owns 26%, after a cash contribution of $84.5 million.

Trusts for the Charles Rosner Bronfman Family own 9.6% and Cineplex
Odeon's public shareholders own the remaining 13.3% of the new
company.

Cineplex Odeon shareholders received one Loews Cineplex share for
every 10 Cineplex Odeon shares they held. Loews Cineplex has about
45.2 million shares outstanding.

Loews Cineplex also named John C. McBride Jr. as senior vice president
and general counsel, Mindy Tucker as corporate vice president of
strategic planning and secretary, and Joseph Sparacio as vice president, finance and controller.

McBride was most recently senior vice president, legal affairs for Sony Pictures Entertainment.

Tucker was formerly senior vice president of develop and planning and
vice president of business development at Sony Retail Entertainment.

Sparacio was most recently vice president, finance and controller at
Loews Theatres.

Loews Cineplex will have headquarters in New York City, with Canadian
headquarters in Toronto.

Let's see: 13.3% of 45.2MM shares = 6MM shares, more or less. That's a pretty darn small float. I smell volatility (doh!).
