WHO HAS A VESTED INTEREST IN ACTV'S SUCCESS?

Let's review the bidding. Sarnoff Corporation, a subsidiary of SRI
International, a recognized leader in advanced digital television
technology development, has collaborated on the introduction of
ACTV's individualized programming. Sarnoff researchers see it as
a low cost way to bring viewers a unique new category of TV
shows.

General Instrument, the dominant supplier of set top boxes, has
invested $1.0MM in ACTV at $2.50 per share, has included
ACTV software in its digital set top box now being supplied to
the cable industry, has incorporated ACTV technology in
MPEG2 compression technology for Distance Learning and has
entered into a joint venture to market ACTV's Distance Learning
System for private networks. Clearly, General Instrument is a
believer.

FOX Sports Net, a partnership between Rupert Murdoch's
News Corp. (NWS-$28) and Liberty Media, a division of TCI
(TCOMA-$32), has signed a multi-year contract to cover all its
regional networks.

TCI itself has signed a distribution agreement for the Dallas
market with the potential for a national agreement to follow. The
FOX Sports Southwest Premium channel will be added to new
digital service. In fact, at a recent regional conference, a TCI
Dallas executive noted that the key to their digital strategy
included @ Home, Video on Demand and ACTV, a strong
endorsement.

Cable and Wireless (CWZ-$37) is creating digital programming
in conjunction with Virgin Records, utilizing ACTV technology for
its digital launch in the UK next year.
