Jack, the stockholders are the owners. The management is theoretically hired by the owners (stockholders). For my money (literally, because a good chunk of it is invested here) Dell is one of the best managed companies I've seen. Just ask yourself why, if the purpose of stock options is to provide incentives to management to increase the value of the stock, some companies with struggling market valuations reprice the options. Don't you think that defeats the point of option-based compensation? And why shouldn't we know exactly what those options are costing us?
