Dear Mike - LU can acquire anyone at any time if it chooses to; however, as a spinoff of T, it cannot do a pool-of-interest acquisition, which has significant tax benefits, for 2 years upon the commencement of the spinoff. While LU stock has been traded since summer of 96, the spinoff occurred in Oct 96. Therefore, no pool-of-interest is allowed until Oct 98. As you may well aware, LU has spent a significant amount to get OCTL, with smaller deals like Aware, Livington and Yurie. To swallow something bigger may have to wait until Oct when it can also maximize the tax benefits.
