PAM,

At this point the real reason is known only to Jason Chon. But one can speculate that since he is taking a lot of DCI stock based at approximately $2.00 per share he believes the stock will appreciate much faster in a shorter time than the value of his company. No doubt Joe has shared his plan for merging DCI into a much larger company. Lets just say Joe sells the company by year end for $8.00 since you believe $10.00 is not realistic. That is a 400% increase. I'm sure Jason Chon believes his company will not appreciate another 400% by year end. More than likely there were some tax considerations involved also.

Best Regards

PA, Per your post: "Obviously, they must believe that this union will be beneficial for them. But, it seems like they are giving themselves away for a song."

Are they really now? Consider that they will be receiving DCTC stock in the purchase and consider the current price of DCTC versus the anticipated end game return. Could it just be that these companies that are coming aboard have more belief in Joes game plan than some DCI shareholders? In all fairness however, these companies would have access to information and analysis about DCI's game plan that we would not, so perhaps it is more of a leap of faith for us than for those companies. Nonetheless, how many times does Joe have to prove to us that he can buy excellent companies at low revenue multiples before we all believe he can do it? I was convinced before Edge, and Edge really clinched it for me. (G) What does it say to us about DCI's future and the future valuation of our stock, when companies like Edge and Locus wants us to buy them with our stock and some cash? Hmmmm...

James

Pr,
We cannot see Locus's books only things from the outside. As a privately owned company, they remove only net profits from the system when they want money. They are also responsible for growing their own company with those profits. So yes, as the company gets bigger it looks great on paper but not necessarily in the pocket. Along comes DCI who is willing to put those profits into your hands all at one time and with a large portion in stock it cuts down on the tax implications. Also I would guess that Joe has shown them the ultimate goal and Locus, believing it will be accomplished, have decided to get aboard will the getting is good(stock price low=more shares). I would guess that you would make that same decision also if in their place. Yes, it does look as if we are buying them on the cheap but I would make a guess that it is not true. We are probably paying at market value, because again, we cannot see the books.

LONG AND STRONG!!! GO DCTC!!!!

Bruce
