That is correct.

However, I would like to point out to my friend the CPA that the SEC filing is broader in scope. I would certainly like to have audited financials. However, I would hope that we could both agree that we need the 10 because of the business case which is outlined (complete with all the Safe Harbor provisions, I know).

Audited financials are certainly desired......they are a subset of the Form 10. I need to see a little more of the business plan with these guys. I might invest based on audited financials, but I generally like a story to go along with it.....

I'm still looking for a reason to pull the trigger on this one and recommend it to my investing group. As of now, I have got not much to go on......

Actually, I know what they will do, I spoke with them. They don't even look at the paperwork, unless the company is under investigation as DCGR is. I know this is the case.
