1. if 32 was the offer, selling below the rumor is common as well as if bay had accepted the price will not rise to the buyout price because of the possibility the deal will fall apart. the 32 is still speculation.

2. from bay dsl, routers, switches, atm, and further penetration into the data network side into which to combine a voice side.

3. purchasing a small tech company and trying to break into a market does not work, you need someone who is already in the market and can develop, integrate and sell the technology.

4. i agree being located in different regions makes makes integration more difficult.

5. since i know zero about canadian tax law and the effects on bay and u.s. tax law, i will show my ignorance and not respond.
