Dear Shareholders:

As we approach the summer of 1998 we want to share with you, our shareholders, the many positive events that are transpiring at MSH.

We continue to conduct the due diligence on Abrams/Gentile Entertainment ("AGE"), one of the most successful independent childrens toy and merchandising companies in the world today. We will close this transaction upon completion of our due diligence. We are very excited about the prospects of the merger between MSH & AGE, and feel that it will firmly establish us, on all levels, as a powerful force within the realm of family entertainment.

As the 'Vanpire' series enters its third cycle, the rating for the show continues to be strong, even surpassing its impressive first run ratings. It appears that we will be producing an additional 26 episodes as opposed to the reorder for just 13. This will give MSH a total of 39 half hour episodes of 'Vanpires', thus assuring us longer on-air time and further consumer recognition of the 'Vanpires' brand name. These additional episodes will
enhance the overall value of the MSH animation library. As we build our library with 'Vanpires' and future projects, this will have a greater impact on overall shareholder value. Recently a very favorable release of the commitment from Galoob Toys was negotiated for the 'Vanpires' toy line. Included in this release was all 'Vanpire' designs, models and tools. We will be announcing a new relationship with a large and reputable toy company shortly.

Our 'Vallas & Son' night time drama series is presently in casting, and Columbia Pictures Television will probably be announcing the decisions for the lead rolls by this summer. I am certain that we will all be pleased with the high profile cast.

In conjunction with AGE we will be producing two additional animated television series that have been licensed. These two new television series will have the full complement of licensing and merchandising capabilities that we presently enjoy on 'Vanpires'. We feel these two new shows will also have the same successful impact, if not more so, then our present hit 'Vanpires'. We are currently in negotiations to finalize agreements for the production
of two new high profile animated television specials, which we will be producing in conjunction with two large Hollywood Studios.

The MSH Music Group ("MSHMG") continues to move forward and we now have a slate of 10 albums approaching readiness for release. The T.G. Sheppard album is enjoying increasing popularity in sales. In June we will be producing the second video from the album, "Coupe De Ville". During July, August and September Sheppard will be performing over two-dozen concert dates throughout the United States. These shows will be sponsored by and have the full
support of the mass merchandising giant WalMart. As you may already know, WalMart is one of the largest sellers of music products in the United States today. In addition to the Sheppard sponsorship it appears that WalMart will be sponsoring several concerts for our next country artist, Misti Pierson. Later this year MSHMG will be producing and recording several sound tracks for feature films that will be released next year by major Hollywood
Studios. It is our intent to begin to produce several soundtracks per year to be included in our product mix.

MSH is currently in dialogue with several prospective joint venture partners for the continued development and future exploitation of the 'Jethro' software system. Once we have finalized these negotiations we will announce the plans to the public.

I know that many of you have concerns about the impending new regulations that will be promulgated by the SEC and the NASD, requiring all companies trading on the Bulletin Board to be reporting. I can assure you that it has alaways been the intent of MSH not only to become reporting, but to move to the NASDAQ, and/or the AMEX at the appropriate time. Upon the completion of the acquisition of AGE, we will complete the appropriate legal and
accounting tasks and file our Form 10 for reporting status. We will also be making application for listing on the NASDAQ.

MSH is exploring the possibilities of an additional acquisition later this year that will enhance our distribution capabilities. This additional acquisition should help us complete our goal of being a fully vertically integrated company.

We have retained the services of a Public Relations firm based in New York City, that will help improve the exposure and enhance the understanding and perceptions of what MSH is all about. Our share price continues to be very undervalued, and I am sure for the patient investor you will be compensated for your time and support.
