[MetroNet Communications to Issue US$350 Million Senior Discount Notes]

CALGARY, May 28 /CNW-PRN/ - MetroNet Communications Corp. announced today that it intends to issue US$350 million (gross proceeds) of Senior Discount Notes due 2008 to fund a portion of the cash purchase price for its pending acquisition of Rogers Telecom Inc. Such securities will not be registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption therefrom. MetroNet originally announced the acquisition of Rogers Telecom Inc. on May 20, 1998.

MetroNet Communications is a public company with its common stock traded on the Toronto and Montreal stock exchanges under the symbol MNC.B and on the NASDAQ National Market System under the symbol METNF.

[MetroNet Communications to Make Public Offering of Equity Securities]

CALGARY, May 28 /CNW-PRN/ - MetroNet Communications Corp. announced today that it intends to make a public equity offering of its Class B Non-Voting Shares in order to raise approximately C$250 million to be registered under the Securities Act, the proceeds of which will be used for general corporate purposes. Such offering will be made only by means of a prospectus.

[Metronet Completes Acquisition Of Rogers Telecom]

MetroNet Communications Corp. announced that it closed its previously announced acquisition of Rogers Telecom Inc.

Upon closing and subject to working capital and other adjustments, Rogers Communications Inc., Rogers Telecom's parent, received 12.5 million shares of MetroNet Class B Non Voting Common Stock and $600 million in cash.

"With this acquisition, MetroNet has rapidly accelerated its network reach and development, further solidifying its position as Canada's preeminent competitive local exchange carrier (CLEC) and the only national full service telecommunications provider to business and government," said D. Craig Young, MetroNet's President and Chief Executive Officer.

Young also said that "A rapid integration is now our top priority and efforts in this regard are well underway across all functions of the businesses. We are totally focused across the company on assuring that this process is seamless for our customers while quickly positioning us to further take advantage of the CRTC's recent deregulation of local telecommunications."
