Effective April 1, 1998, the Company entered into the Consulting Agreements with each of KM and RF. Under the terms of their respective Agreements, KM will provide consulting services with respect to matters concerning: (i) strategic planning and implementation of the business development and affairs of the Company, (ii) future business and strategic opportunities available in the United Kingdom, (iii) providing management and strategic oversight for the assessment and reorganization of the London-based operations formerly conducted
by Softbank Interactive Marketing, Inc., and (iv) involvement in and the prospects for use of the London facilities and opportunities and the future operations or conduct of business in the London-based markets. RF will provideconsulting services with respect to (i) strategic planning, (ii) legal affairs and (iii) corporate finance and industry analysis. About a thousand messages ago, someone posted a domain registration listing for laptop products under the name "Zulu." In that the ticker symbol has now been changed to "Zulu," I'd say this merger is very much on track.

I predicted long ago--and this was one of the instances where the naysayers accused me of making things up--that the Zulu name would remain. I wasn't then making anything up--it was a prediction. This was said way back when I suggested that some day in the future we'd see movie-interactive, computer-generated billboard advertising and that there'll be future generations of Zulu-tekkies all about. This was wistful, not wishful, thinking back then.

Though ESVS, because of the Nasdaq listing, would be the dominant company from the merger, there's nothing to prevent it from assuming the Zulu name once the merger has been accomplished. From a PR point of view, "Zulu" has a much nicer ring than does "Enhanced."

So far, absent release of the audit and a progressive update on the private placement, I like what I see happening. Zulu is indeed beginning to make its move, and I'm proud to have been an early supporter.
