Looks like Sprague is a short timer. Man what a deal.

CONSULTANT CONTRACT WITH MR. SPRAGUE. Effective May 1, 1998, the
Company entered into a one year consulting services contract with Peter J. Sprague, a director of the Company. Mr. Sprague will assist the Company in the development and marketing of its video compression and processing technology, to assist in the development of the Company's business operations, and to assist in the implementation of production methods for existing and new business. For his services, Mr. Sprague shall received $10,000 per month and options to acquire 100,000 shares of Common stock at $2.00 per share.

With respect to each transaction between the Company and an affiliate of the Company, the Company believes that such transactions were on terms at least as favorable to the Company as they would have been had they been consummated with unrelated third parties under similar circumstances. The Company has no formal policy regarding entering into future transactions with an affiliate.
However, in general, any transaction involving an affiliate will be approved by the disinterested directors with the interested director abstaining fromvoting.
