Chris, what's the problem with SmartMedia? The terms of their agreement may be secret but the major reason SNDK signed with Toshiba was to collect royalties.

TOSHIBA AND SANDISK SIGN FLASH PATENT CROSS-LICENSING AGREEMENT
SUNNYVALE, CA, Aug. 5, 1997 -- Toshiba Corporation and SanDisk Corporation (NASDAQ:SNDK) today announced that they have signed a cross-licensing agreement for flash memory related patents.

Under the agreement, Toshiba and SanDisk have licensed each other's patents covering design and manufacture of flash memory products, giving both companies worldwide rights to use those patents. Specific terms of the agreement are confidential.

Koichi Suzuki, Group Executive of Toshiba's Semiconductor Group, commenting on the agreement said, "This agreement between the two leaders of flash memory technologies will provide a great impetus to growth of the flash data storage market. Toshiba is committed to providing our global customers with a wide variety of flash-based products."

Eli Harari, Sandisk president and CEO, said, "We are very happy to announce this patent cross license agreement between Toshiba and SanDisk. Both companies have pioneered the emerging markets for flash data storage. This agreement will accelerate the market development. I look forward to excellent future cooperation between the two companies."
