FINANCING / First Star Energy Seeks ASE Approval to Grant Stock
Options

ASE SYMBOL: FST

MAY 20, 1998



CALGARY, ALBERTA--First Star Energy Ltd. (ASE: FST) announces that
First Star is seeking approval from The Alberta Stock Exchange to
grant stock options to 9 directors, officers and consultants on
the following terms:

(a) the total number of Common Shares to be made available upon
exercise of the new options is 2,100,000;

(b) the exercise price for the options is $0.86 per share (or
such other price approved by the ASE based on allowable discounts
from recent trading prices).

The final terms of the option grant may be varied from the
foregoing as may be approved by the ASE. A total of 1,130,000
shares were issued on May 19, 1998 upon exercise of options.

First Star is an oil and gas corporation whose shares are listed
for trading on The Alberta Stock Exchange under the symbol FST and
had 24,016,195 Common Shares and 300,000 incentive stock options
issued and outstanding as of May 20, 1998.

NCE Petrofund

NCE Petrofund is a royalty trust that derives its income from
producing oil and gas properties in Western Canada.

- The distribution for May 1998 is five cents ($0.05) per unit.
- The distribution is payable on May 29, 1998, to holders of
record on May 19, 1998.
- Distributions are made monthly.
- During the past 12 months the amount distributed is $0.67 per
unit.

NCE Petrofund Trading Information

- NCE Petrofund trades on The Toronto Stock Exchange and Montreal
Exchange.
- The price for NCE Petrofund on The Toronto Stock Exchange at
the close of the market, May 19, 1998, was $3.96 per unit.
- NCE Petrofund has a monthly distribution reinvestment plan.

NCE Energy Trust

NCE Energy Trust is an income trust designed to acquire oil and
gas companies.

- The distribution for May 1998 is ten cents ($0.10) per unit.
- The distribution is payable on May 29, 1998, to holders of

- Distributions are made monthly.
- The Trust has distributed $0.82 per unit since the initial
distribution on September 30, 1997.

NCE Energy Trust Trading Information

- The Trust was launched in March, 1997, and has since purchased
the Canadian assets of Lateral Vector Resources Inc. for
approximately $44.4 million.
- It trades on The Toronto Stock Exchange and Montreal Exchange.
