George:
Thanks much for the annual mtg. report. Did anyone ask the question
about stock ownership amongst board members?

One last thought for the day - on the Ancor ASIC. Ken said that the solutions to problems were built into the ASIC based on the experience of Ancor engineers. He felt that the solutions were to problems that "the competition has not even encountered yet." Not only a statement about his confidence in the engineers and the ASIC, but a very heavy concept. I am still thinking about the process of embedding human thought and experience in silicon.

For specifics of the BOD reimbursement refer to p. 9 of your proxy statement. Reimbursement has gone from a paltry $500/meeting in 1998 to increasing numbers of stock options - for non-employee directors. Under the Director Plan each non-employee director received an option to buy 1,000 shares of stock on the first business day of each fiscal year they remain a director. The annual option increases to 6000 shares in 1998 (no cash reimbursement) with a further amendment for additional options to purchase 12,000 shares.

This is definite incentive provide good business advice to Ancor. If Ancor takes off because of their advice - they stand to make a lot of money from this option plan. The reimbursement using options is potentially better than some of the blue chips I own where BOD members get paid $40K/meeting.
