To All : my comments on your messages

Mats : I don't know about German Stocks.
You are right that there is something wrong with SNDK but it could be unrelated to its actual business success. It looks like
pure stock manipulation.

Jason, Michael, limtex : there was some insider selling in April, Eli and Leon each sold 30,000 shares, which is ridiculous
compared to their holdings and compensation. Be sure that they do know many things we don't (not necessarily all negatives
by the way) they are running this company.

Joe and Ausdauer : Joe is right regarding the number of investors, your holdings are gathered with all the ones held by the
same broker, everything then appears under the Street name of e.g. Merril Lynch.

Chris : I am not surprised by your findings with Cindy, just hope she knows more than what she shows...As regards the Kodak
Digital Science Memory I must have a look before answering. Do not congratulate me as I continue to lose money currently.
Past profits are behind.

David Busch, James C. and Steven W. : I think it's pretty clear that ImageTeck DFS-1 does NOT use SanDisk's technology,
theirs is different. It should be considered a competitor but IMHO won't do much harm to SNDK. They could sell 100's of
1000's of those films without damaging SanDisk's overwhelming presence. Even at a price of $300, i.e. equivalent to the
average digi-cam price, I'd prefer to have a viewer and a versatile storage technology. CF can be used in HPCs, DigiCams,
GPS, AutoPCs. They are coming to late to be really competitive as prices for CF and Digicams are falling.
This has to be put into the context of an exponentially growing D-cam mkt.

James C and Ausdauer : infancy of the company. Yes, I must subscribe to what James said in his message 3042. This is yet to
early. The digital revolution has just started today, new applications are found daily and the best is to come.

Limtex : I don't think there's anything wrong with the performance of the company at this point, it's the stock that's being
manipulated. And believe me there is a reason for this! We just have to find it! Price sliding with such a low volume means
that fundamentals are intact and there is no danger. Also, forget the litigation for now, getting the advice is more important.

As a conclusion, I want to say that I have intensified my research in the recent days and do not see anyother negatives than the
ones listed above. Fundamentals are strong and we could see a blockbuster year, next year should even be bigger. Even with
conservative comments from the CEO the stock should take care of itself.

Thanks to all for the great participation!

Best Regards,

Jerome

LIMTEX WROTE:
>>1. Can someone please post the name of a couple of
lawyers who have dealt with class actions in Silicon Valley.
I have seen articles on some quite succesful cases for the
shareholders.

2. Who ever else is interested in getting some advice pls
post here. This might be the beginnig of the first SI
organised class action. >>

Get a grip and read the annual report! If there is anything that could possibly go wrong with the company, earnings and stock price that IS NOT COVERED IN THE ANNUAL REPORT other than grand theft by the officers, I would sure like to know what it is! Whatever happens in any class action suit, it is only going to cost the company about 1 hour of legal fees! One lawyer gets up with the annual report in his hand and asks any shareholder: "Did you read the annual report, and did you still buy the stock after reading it?" End of story, end of class action law suit.

Before you waste your time, tell us whatever basis do you think you have for a class action lawsuit! If it doesn't fly here, it will never get off the ground in court.

Wake up and smell the coffee!

Steve
