I have different theory (a newbie theory), no fact just projection, about the "biggie" change.

Seeing how TPI has been working closely with BMR for an extensive period of time it seems feasible to me that this new corporation was formed to segregate the vertex2000 from the remainder of the BMR corporation. By doing this it would allow the new corporation to form agreements, partnerships, and potentially mergers with other corporations and at the same time keep all other business that BMR is involved in outside of any such agreements.

With TPI being a player in the development of the technology they may be a candidate for such an agreement. Again, this is only theoretical, but instead of BMR accepting a licensing fee only, the agreement may entail that there will be an on going cooperation between the two companies so that TPI doesn't need to pay a large license fee and BMR won't be left outside of ongoing profits.
