Food Concepts Merger Agreement Signed JERSEY CITY, N.J. (May 6) BUSINESS WIRE -May 6, 1998--The Chairman of the Board of Food Concepts, Inc., (OTC BB - JAVA), Herb Glaubman, announced that Food Concepts has signed an agreement to merge with Insecta Sales and Research, Inc. Pursuant to this merger the Company will change it's name to Viropro, Inc., a Nevada Corporation. The merger was effected through a transfer of stock and will allow the Company to increase sales and enhance shareholder value without impeding it's cash position. Insecta is an Oakland Park, Florida based company that manufactures and distributes a patented insecticide coating system produced and sold under the registered trademark INSECTA(R). The EPA registered INSECTA(R) brand is used to control insects in a variety of applications from commercial and residential spaces to restaurants and public housing projects. The INSECTA(R) product is guaranteed to eliminate for ONE FULL YEAR, a capability that, the Company believes, helps to make it vastly superior to most other brands of insecticide on the market today. The Company can offer this guarantee because of the manner through which the insects are exposed to the chemicals which adheres to the insects.
