If they said no, they would have been on the hook for a million dollars. This way they get out of the deal at no direct cost. I suspect Discreet saw that the merger would not be starting on the best of terms if they insisted on the deal and were unwilling to improve their bid.

I would be surprised if MGI actually contested Discreet's decision to terminate the deal. If they do, it would only raise questions about MGI's prospects and future viability.
