Almost June -

Call it what you will - 2 months or 57 days or 9 weeks - it feels like a long time. Still, no news is forthcoming from the company. So people get a little tired of waiting and the end of the month broom is at work causing people to sell and further push down the share value.

During the month of March, the trading volume and share value was percolating - reaching a crescendo at the end of March with the announcement of the merger with Annasoft Systems. Since then, the company has been pretty much closed mouth - not because it wants to be silent or because it has nothing to say - it's being quiet because of the merger process.

During the due diligence for the merger process, Intrinsyc and Annasoft each have to be careful not to release news that would result in a material change to either company. The SEC is very particular about this point. In addition, weeks of legal and accounting work can be undone by material changes to either company and the entire process would have to begin again. Consequently, in this case, no news is good news.

As is evidenced in previous posts, the Windows CE operating system is gaining acceptance in the market of hand-held devices such as HPC's and PDA's. A recent article notes that the hand-held industry is experiencing rapid growth with 1997 shipments up 65% over 1996 levels. Although the article talks about 3Com's PalmPilot having 63% of the market overall, it also notes that:

......."Windows CE accounted for 26% of the standard hand-held shipments in 1997"....." Clearly, the bevy of Windows CE-based palm-sized PCs are going to provide a competitive challenge for the Pilot platform in 1998".........."While hardware advances are essential to the market's development, software applications tuned to leverage the hand-held form factor and the internet and intranet communication pipelines will be what build long-term momentum for the market".....

Note: "software applications tuned to leverage the hand-held form factor and the internet and intranet communication pipelines will be what build long-term momentum for the market" and remember that Intrinsyc's Rainbow is the world's first HTTP Web server software for Windows CE o/s. It allows users to remotely monitor, configure, control and update a broad spectrum of industrial and consumer products including office automation, network hardware and control systems.

Watch for the growth of the Windows CE platform. A standardized operating system provides the first step in creating convergence and connectivity within the world of the PDA's, HPC's, and other consumer electronic devices and peripherals. Companies that facilitate the efficient development of the applications for the devices will be in demand.
