As I understand securities law, if Bay had received a bona fide offer from Nortel, Bay would have to make public disclosure of such a bid. This provision ensures that sharesholders are not undermined by agents of the firm who, acting in the self interest of preserving their job or position of power, knowingly act in a manner inconsistent with shareholder interests (i.e. conceal acquisition bids).

I have no doubt that Bay is in play, it has been for the last year. But if Nortel really made an offer, it would have been announced. Perhaps this is what will happen at Supercom; Bay will announce that it has formally received an offer from Nortel. Only time will tell...
