Below is the URL to an article someone posted in another area of SI. It's a great education on convertible preferred financing and shorting in order to manipulate the stock price and later acquire as much stock as possible. I want to clearly point out that I DON'T KNOW WHAT TYPE OF FINANCING PKGP IS DOING OR PLANNING TO DO, but this is one they would want to stay away from. Several other stocks are mentioned in this article. Do yourself a favor and READ IT. Sometime down the road you will come across this type of deal, especially if you like trading small stocks:

I have first hand experience with what happened to this company. If your interested, the preferred's had a option in January 97 for either one of the lower prices: the market price or the average August 97 share price. Well guess which was lower. After 8 months the August 97 price was lower. Don't get me wrong, the company I am referring to has great potential. They struggled with this financing deal and have paid out a lot of the preferred holders. They should be ready to explode soon.
