Mr. Anderson:

I have been poking around the SEC site and found this under enforcement. Am I looking in the correct areas???

As stated in Securities Act Release No. 7190 (June 27,
1995), it has come to the Commission's attention that some market
participants are conducting placements of securities, purportedly
offshore pursuant to Regulation S, under circumstances that
indicate that the securities are in essence being placed offshore
temporarily to evade registration requirements. As a result, the
incidence of ownership of the securities never leaves the U.S.
market, or a substantial portion of the economic risk relating
thereto is left in or is returned to the U.S. market during the
restricted period, or the transaction is such that there is no
reasonable expectation that the securities can be viewed as
actually coming to rest abroad.

Hello K.A. and all:
I just got back from an overseas job and have spent some
serious time trying to catch up on stocks on the
S.I.boards.Let me assure all this one is the most
educational as well as being the most interesting.I am
not very well versed on the inner workings of any corp.or
the SEC,that said please forgive this next question. I
don"t remember it being mentioned and I only ask so that
I can learn. Who pays the lawyer fees for Jack? Is it his
money or does it come out of our CVIA Co.s account?
