* Spoke to I.C.I. (UK, US, Canada) and Aquasol (Alberta) today * Yes, I thought everyone would be interested. In a nutshell - buy NIR. I've been all over the map today starting with ICI in the UK (3 sites), thence to the US (2 sites) and finally home to Canada (2 sites). I want to thank everyone that I spoke to at ICI - from their Public Relations Officer at ICI World Headquarters in London, to the Head of ICI Paints in the US (Cleveland, Ohio), to the VP for Sales (ICI Devoe) in Louisville, Kentucky, to ICI Devoe Coatings in Edmonton, Alberta. I also phoned the Industrial Manager for Canada (in Ontario) late in the day and expect a return call tomorrow. I was treated very professionally, courteously and given all the time I needed to ask my questions by everyone at ICI. Special thanks to the VP from Kentucky who returned my call. ICI is a class act. It's always nice to catch up with what's going on in England - I did my PhD at Cambridge. The bulk of what I learned came from this side of the Atlantic. ICI as you would expect is involved in hundreds of deals so you need to work your way through the company to get a good feel for what's happening. All the ICI action will radiate from Edmonton and the Napier/Aquasol/ ICI `product suite' will enter the ICI worldwide marketing behemoth from there (ICI markets in 163 countries). The ICI Devoe Coatings division in Edmonton (a large plant) is geared to coordinate and handle to whole distribution process. It is very possible that some of Napier's manufacturing capacity will also move to Edmonton to take advantage of the proximity to Devoe Coatings. ICI's spokesman described the SV-35 series of chemical strippers and Aquasol's cleaning solutions as `amazing' and `unbelievable'. Devoe and Aquasol have been working together for three years on product development. Aquasol International Inc. is a private company and all shares are privately held, hence they don't trade on any exchange. If you go to the SEDAR web site for Aquasol:sedar.com they appear as Aquasol International Group Inc. This was the name they were going to use when they were thinking of going public - but never did, and SEDAR didn't update the name. The due diligence process between Aquasol and Napier was scheduled for 30 days, but is running a little longer than expected. However, they are trying as hard as they can to complete their negotiations. The dialogue between the two companies has been `extremely good'. In addition, the Agreement-in-Principle has been signed. Furthermore, the person I spoke to said that he had contacted 75% of the shareholders and they are 100% for the merger with Napier. At least two Aquasol directors will sit on Napier's board. Once completed the board will announce a meeting to shareholders (via mail) to formerly recommend the merger with Napier and 21 days later (minimum required) the meeting will be held. In addition to their cleaning solutions Aquasol have other very good products that they're developing and marketing - and like Napier their products are also environmentally friendly. Furthermore, they have recently entered into testing agreements with Boeing and McDonnell Douglas as Napier did last year. Since the `News' broke in April, orders have been `explosive', but they are well geared to handle them. The synergy between Aquasol and NIR is very, very good. One key factor in using a combination of the products is that once a paint has been applied a longer warranty for a specific period can now be offered by ICI. Everyone expected NIR's stock price to rise to today's level (between $2 - $3) after the April News release, and no-one expected it to reach $4.88. The market response just turned out to be a lot larger and stronger than anyone expected. Here are the key people to address your questions to, however I spoke to others today as they were unavailable when I called: Imperial Chemical Industries (I.C.I.): (1) Terry Wiseman (Industrial Manager for Canada, Ontario, 705-688-8450) (2) Ron Garrett (3) Ron Graham (both at ICI Devoe Coatings, Edmonton, Alberta, 403-454-4900) Aquasol International Inc.: (4) Dale Storey (Calgary, 403-263-1100) I would give the key players the time they need to finalize their negotiations. I have spoken to Jason (NIR's Investor Relations contact) and he, like everyone else on `the inside', didn't expect such a strong initial market response. So I would give him some slack as he is dealing with a flood of inquiries - and is more than likely going nuts! So how did all of this start - very interesting story here. I have not spoken to Sergio - but got his story from ICI in Edmonton. Recall that the guy who developed Teflon wanted a non-stick coating for his skies; and the guy who developed the adhesive for 3M's Post-It notes who recognized that the `less than sticky' adhesive that he accidentally developed was great for sticking to the back of small notes and then people in his lab stuck them all over the place; and now the SV-35 chemical strippers came about because another guy (very determined chemist - Sergio) was unable to remove the adhesive from decals that had been stuck on his car. I guess he said to himself "that's it - I'm not taking this anymore" and so the seed of SV-35 was borne. Apart from industrial applications in paint stripping (for example), SV-35 will now very likely be coming to us in a spray can for everyday use - as has been reported in other News. How many times have we all purchased items and tried to remove the price/information labels that seem to be glued to everything only to be left with the damn adhesive and part of the label still stuck there? I'll tell you that hot water, soap and steel wool may get it off - with lots of scratches, while SV-35 just `melts' it away. Like Sergio, and several others who have posted here, I am also in research and send e-mail's all over the place 24 hours a day. Al G. spoke to Sergio today and he has posted his comments on the Canadian NIR board:stockhouse.com Select `Forums' and enter NIR. That's it - the end of my debrief. My conclusions: (1) If you hold NIR and sell because it hasn't `gone into the stratosphere' just yet and move onto something else - you're a stupid moron and you'll only end up crying later; (2) Today's close is where they expected NIR to move to ($2 - $3 range) following April's news - and prior to the next big News release. I don't know when that will be, but I wouldn't be surprised if it happened anytime now, nor would I be surprised if it was a matter of weeks. The price will continue to move up and down within this range - then the breakout upon News; (3) The Napier/Aquasol/ICI partnership will revolutionize the paint stripping, surface cleaning and paint application process with environmentally friendly products. This is the best thing to come down the pike in ages in this sector; (4) NIR will be the stand-out stock on the TSE this year; (5) Please use the telephone numbers above and do your own research. I was the 15th caller the Aquasol guy had talked to today concerning the Aquasol/Napier/ICI deal. They all want to talk to you so call them; (6) If you have great products and a great process, it's not hype, it's great products and a great process; (7) Be patient - just a tincey wincey bit longer - a juggernaut is coming, so jump on, or get out of the way; (8) The bottom line - it's my money, I've done the research, it's my decision, this is where it stays.
