My mistake: the 6.1 million shares apparently have to do with Merced, not Brooks.

From Jimb's "newsletter": As I understand it, this deal with Merced gives CSHK the rights for about 7 years on any other products that they might develop and Merced will get a $250,000 up front signing bonus (so to speak) as well as 6.1 million shares that will be put in escrow and cannot be put into the market until September of 1998 by which time the company feels CSHK will have significant revenues coming in. The great part is only 10% of royalties go back to Merced leaving a huge chunk for CSHK.

The Merced deal appears by now to have been renegotiated.
