Sandra,sorry,not much help on this one..but the conversion is based on the stock price,so it is a floating conversion,without a set conversion price..DD "The shares covered by this Prospectus represent 200% of the number of shares that may be issued as of the date of this Prospectus based upon a conversion price of $2.00 per share. The actual number of shares of Common Stock offered hereby is subject to adjustment and could be materially less or more than the estimated amount indicated depending upon factors which cannot be predicted by the Company at this time, including, among others, market prices prevailing at the actual date of conversion."
