FINANCING / Thunder Energy Inc. Receives Receipts for Final
Prospectus

MAY 27, 1998



CALGARY, ALBERTA--Thunder Energy Inc. (THY - TSE) announced today
that it has received receipts from the Alberta and Ontario
securities commissions for a final prospectus dated May 22, 1998
that qualifies the distribution of 2,500,000 common shares
issuable upon the exercise of special warrants that were
previously issued on April 28, 1998. As a result of the issuance
of the prospectus receipts, the balance of the proceeds of the
special warrant financing which were being held in escrow will be
released to Thunder.

The Company raised total gross proceeds of $5,000,000 under this
financing. Proceeds from this issue will be initially applied to
the Company's operating bank loan which will subsequently be drawn
upon to accelerate and expand Thunder's 1998's capital program.
Thunder will increase its emphasis on natural gas exploration and
development to take advantage of strengthening prices and its
large inventory of gas prospects in its core areas.

A copy of the final prospectus will be sent to all registered
holders of the special warrants. On June 1, 1998, all special
warrants not previously exercised will be deemed to be exercised
and common shares will be issued in exchange therefor.

Thunder Energy is a Calgary based oil and gas exploration company
operating in Alberta. Thunder's shares are traded on the Toronto
Stock Exchange under the trading symbol "THY".
