Please continue to check Al G's (ahgjels) posts to the Canadian NIR forum at the Stockhouse site (www.stockhouse.com). Al has all the trade information - trade by trade from the Stockwatch site (www.canada-stockwatch.com). I just have a trial subscription at present - but I'll upgrade to a full membership account soon - as Al will to SI ;-) The trail just gives me limited access - but there is a daily record of every trade. Al also has a live TSE feed via Stockwatch, and he's a key player in this discussion.

The good news just keeps rolling...

(1) A major US oil company is testing Aquasol (now named Hydrosol 700 - under license to I.C.I.) to refurbish their storage tanks. The NIR 21 April news release put their number in the US at 925,000 alone! The ICI spokesman said that the cleaning/refurbishment methods used up to now caused damage to the tanks - and to the lines leading to and from them. The testing has been very successful, it saves time and expense, and ICI feel's very confident. The most critical factor in tank refurbishment is cleaning the INSIDE of these tanks and their lines.

The ICI spokesman said to me (when we first started talking) that a major US oil company is testing the products, but he couldn't tell me who or for what. When I referred to the 21 April news he gave me run down of the testing of the tanks (above), but when I pressed him on whether this was what he "couldn't tell me" - he didn't say one way or the other. So it may be the same thing - or it may not be. I'll play this one conservatively - and say it was to do with the tank refurbishment.

(2) The agreement between ICI and Aquasol is to purchase $1.6 million of Aquasol solution during the first year of their private labeling agreement. However, the word before this figure in the 21 April News is `MINIMUM'. I asked him about the `explosive growth' that Aquasol has enjoyed in orders recently, and he said that `we like to be conservative'. I can't put a figure on the first year's sales - but you can forget $1.6 million.

(3) A test was recently done to remove the paint off an external 12,000 sq ft brick surface on a building in Red Deer (Alberta). SV-35 proved to be the most effective treatment of the suite of products tested. The SV-35 was just sprayed on, left for 15 minutes, and hosed off with high pressure water. The folks who tested the SV-35 "couldn't believe it" the ICI spokesman said.

(4) SV-35 is very mild and if you get it on your hands, it's just a matter of washing it off. It causes no skin irritation or itchiness and is virtually odourless. Testing is still in the very early stages (less than 3 months thus far by ICI) - and get this - "We are testing a lot of surfaces and different products every day. I just put it on the tip of my finger and rub it on. It's unbelievable what it does" (...don't you just love it!!!!!). By the way, he described SV-35 as a `phenomenal product' and it's a `prefect match' to Aquasol.

(6) The domestic market for the domestic spray cans of SV-35 is `huge'. He also said `that there is no reason why it won't go gangbusters (in the market)'. He wasn't too sure of the details as Napier is continuing to test the spray can delivery of SV-35.

(7) Aquasol International have tightly restricted the outside testing of their Aquasol surface cleaning solution. The ICI guy said that he has been wanting to 'play with it for a long time now' - and testing has only just begun.

(8) The ICI guy said that the market for the Aquasol/SV-35 products is `extremely huge'. I pressed him a number of times about their ability to meet projected demand - and they said they would be able to `definitely'.

Furthermore, if demand rises to a level where they can't meet it from one plant (I presume the one in Edmonton, plus Aquasol's and Napier's production) - they can produce both products in additional ICI plants. No problemo. However, I'm not certain of who produces what here initially - that is if ICI will produce both products to supplement Napier's internal SV-35 production and Aquasol's internal cleaning solution production.

(9) Training the internal ICI sales and marketing staff has not yet gone into worldwide mode - remember the Napier/Aquasol/ICI deal is still only very recent.

(10) The SV-35/Aquasol products are a dream combination for the US airline industry. As you know US law kicks in September of this year banning toxic paint stripping processes used up to now when repainting planes. I said that these products must be a god send for the airlines and the ICI spokesman said `Yes, I guess they are'.

(11) ICI said that they expect steady and strong sales (already making them), but they have no idea of the magnitude of the market (it's huge) - so they can't put any sales projections out with confidence. Hence, I believe that they will likely announce `minimum sales projections' and play it conservatively (don't you just love a British company).

Some thoughts (haven't read this evening's other NIR posts):

I expect an NIR News release at any time to say that the `Due Diligence' process between Aquasol and Napier has been completed (i.e., checking each others books, potential `poison pill' linkage with ICI, ...). In the 21 April News they said that they had scheduled 30 days for this process. The Aquasol spokesman, who I spoke to a couple of days ago, said that it's running longer than they expected, which he liked (lots to talk about), but they are trying as hard as they can to complete the negotiations.

Given the investor interest, I believe that NIR will release an announcement upon completion of these negotiations. Aquasol will then call a meeting of shareholders by mail (n.b., all private shareholders - it's a wholly private company), and 21 days later (minimum time period required by law) the meeting will be held. This will just be a formality (75% of shareholders polled thus far by the Aquasol guy I spoke to said that they are all 100% for the merger). This will cement the deal and formerly merge the two companies. With the News that NIR will release following the ballot I expect the order numbers/expected sales figures to be included. I believe that including order/sales numbers in the `Completion of Due Diligence' News will be premature - best to wait until everything is signed, sealed and delivered.

My timeline: If negotiations are already completed (but not announced - unlikely) then it'll be a minimum of another 21 days before the Aquasol ballot - so there will be no HUGE news release for at least three weeks. If negotiations are still ongoing, then I'll be very generous and give them until the end of June to complete at the very, very outside. If so, I expect an interim NIR `FYI' News release of ongoing negotiations (which have been `extremely good' according to Aquasol). Therefore, by the end of July at the very, very outside the mammoth `News' that we have all been waiting for will have been released. I also expect that ICI will also play a big part in the release, with sales/orders, projected sales, etc, information included.

I am going to continue to enhance my own position when I can, so any further delay in releasing News is to my advantage (plus everyone else's). I see it as a continued buying opportunity - but time is fast running out fast.
