Multiple incorporation possibilities: 1) Registration as a foreign corporation. Different states have different registration requirements for foreign corporations. 2) Avoidance of franchise taxes as a foreign corporation. If you do substantial business in a given state, this could save some pocket change. 3) Avoidance of other taxes on foreign corporations. There are sometimes advantages on inventory and property taxes to be had. There are a multitude of other mundane reasons that a lawyer could spell out.
