I wouldn't put much faith or hope in the attractiveness of NCTI on the merits of its NOL attribute. IRS code places enough restrictions on post-sale continuity of business activity and ownership structure to effectively prevent trading in NOL's. The post acquisition company would have to make genuine use of and consistent business application of NCTI or the loss is substantially limited. FWIW...
