Thanks for taking the time to post your comments.

I have not finished reading the whole S-4 yet, but two things really
shocked me:

First, I was sure that it was stated on previous conference calls that
IQI was profitable. I don't remember someone qualifying that they had
operating profit, but no net income because of interest payments.

Second, the debt load that the merged company will have is staggering!

I will grant that it appears that IQI is closer to profitability after
the 3/31/98 quarter than at the end of 12/31/97, and maybe they are
going to be profitable for the 6/30/98 quarter. But I was still very
disappointed to learn that they do not have net income.

Regarding the debt load the S-4 states that if the merger is approved
the new company has secured new financing. But I'm also wondering if
there might be a stock offering down the road with the number of
authorized shares jumping to 100 million.

I'm going to wait until I get some answers from Scott Guffey at ATCT
before I make a decision on how I'll vote my shares, but right now
I don't see how the merger benefits me as a shareholder.

does seem to have inside knowledge of the teleservice business and
ATCT.
