The required vote to pass is 66 2/3% of all outstanding shares as of the date of record (May 4th I believe). All un-returned proxies are a NO vote. For all shares held for shareholders in "Street-name" by brokers it is up to the shareholder to contact the broker with voting instructions, broker can't just vote arbitrarily.

I've heard a rumor that a lot of people have sold their shares since May 4th but still get to vote as they were the shareholder of record and as the rumor goes they are voting no in protest to punish Palmer for his poor performance and sell-out. His walk-away money isn't pleasing many either.
