The last I heard MD had about 16% of DELL shares. Which means he has about 100 million shares. I don't see why selling 1.2 million of those should be considered that big of a deal.

He sells every year at about this time. It's always about
1% of his holdings. In the last 5 years he has sold about
5% of his stake.

He still owns about 95 million shares. Had he never sold
any, he'd own about 100 million shares today. Whats' the
difference? Hardly a bearish indicator.

When you're entire net worth is tied up like MD, you have
to sell some on a regular basis.
