I'm not sure if you're being sarcastic.

So it was a trade which went bad, tomorrow's another day.
Anyway, if you really want to know what a Reg S is go to seclaw.com and look it up. It's not just one regulation. Reg S is just a term which means any number of types ie. S-B, S-T, S-K, S-T, S-X are the ones I remember. It is the disclosure of small business issuers required by SEC when issuing additional securities. Like anything involved with a company a Reg S needs to be looked at within the context of the rest of the company. Usually, traders shy away from ones which have filed a Reg S. IMO
