DSC shareholders would receive 0.815 shares of Alcatel American Depository Shares for each DSC share.

Based on this figure and a close of 39, my calculator shows 31.79.

About $31.84. Taking time value into account, I'm starting to think the $28 range wouldn't be too bad. I expect the stock will get another pop tomorrow AM after the "broader" general public gets wind of the deal and today's price action. I may be among the first to liquidate tomorrow if that happens.

I read in one of the press release that the buying price is 8% over the DSC's 52 week high of 32.75. That indicates it is based on yesterday Alcatel closing price (0.815 ALA share for every one DIGI share) or may be based on ALA price on the day the deal closes?

Buying price based on yesterday's close will be:
$32.75 + $2.62 (8%) = $35.38
