Pooling of Interests Requirement: "Each of the combining companies must be autonomous and not have been a subsidiary or division of another corporation within two years before the plan of combination is initiated. The initiation date is the earlier of : (1) The date of public announcement, or notification to the shareholders of any one of the combining companies, of the major terms of the plan, including the ratio of exchange or a formula that provides for the ratio of exchange (2) The date the shareholders of the combining company are notified in writing of the exchange offer." Based on the above, seems they cannot do much of anything until October 1, 1998.

Jan -- In the industry stock used for acquisitions is referred to as "funny money." Case in point is DIGI and ALA today. By the time the bell rings at the end of the day what began as an exorbitant price ends up within reach. The Lucents of the world don't clip coupons. :) Later -- Pat
