Many thanks, Jeff and Roni. An interesting conversation, and one that I must read several times. But here's what struck me like a sledgehammer:

"Cashco acquired them [A.R. Brooks] in September before I was hired."

Wow. I thought the company was Rhonda's. She's the CEO and everything. WHO "HIRED" HER? Who REALLY owns CSHK?

A few more comments before I hit the sack.

Merced: Mark Shultz introduced those guys to CSHK before I got involved, probably in October or November. His web site was serviced by a company called Walltech, who had a relationship with the three programmers that made up Merced. We had told Mark that one of our focuses was to look for new and exciting projects and so he told us about Merced.

When exactly DID Rhonda "get involved"? Or as she herself put it: "was hired"? I thought it was in November. Never mind, though. What is she saying here? That "Merced" was "made up of" three "programmers" who had a "relationship" with Waltech. But as we know from the incorporation records, the principals of Waltech (whose site, by the way, is STILL down after what? eleven days?) are Scott Howell and Tom Stinson. The principals of Merced are Scott Howell, Tom Stinson, and Brian Capellaro (who, though not an officer or director, does work for Waltech). I think that for all practical purposes we may assume that Waltech = Merced. This has been clear for some weeks now.

Let us, however, examine Rhonda's statement further. She first says that "Mark Shultz introduced those guys to CSHK before I got involved", and then that "We had told Mark that one of our focuses was to look for new and exciting projects and so he told us about Merced". Contradictory? Who was the "old CSHK"? Who is "we"?

This brings us to a point I've never understood. According to Dun & Bradstreet, CSHK was an inactive company from sometime in 1996; phone disconnected, didn't respond to mail, and so on. It is said, however, that CSHK bought A R Brooks in September '97, so by that time, at least, they must have resumed activity of some kind. Where were they located? In Toronto? Nevada? Florida? Where was A. R. Brooks located? Yes they eventually incorporated in Florida (in January of this year) but where did they originally operate? And who are their 16 shareholders?

Q. Why can't we find a listing for 122 W. Generic Street, where Zitec is supposed to be?
A. Don't know. I'm in Toronto and Zitec is in Pennsylvania.


Rhonda is amazingly incurious, is she not? She's entrusted all the marketing for their software to a company whose ADDRESS she doesn't even know? I really, really don't find this a very credible response.

Q. Who is Telanis and where are they incorporated?
A. They are a bunch of techies from Texas. They have been in business for two years dba Telanis. They are not incorporated but will be soon now that they have reason to do so.


Well yeah, now that they've signed a letter of intent with CSHK representing themselves as "Telanis Software, Inc.", and have been so described in at least one Company Press Release, seems to me a good idea. Do these techies from Texas have any connection with Dave Clifford? Or with the Waltech Wizards?

Q. Are you concerned about Mark Shultz's relationship with Wallace Technology? Wallace owns shares in Cashco and Shultz is a client of Wallace who has said glowing things about Cashco in newspaper reports.
A. I hadn't considered that, but we have no control over such things.


Really not? What's the source of Mark's information about the company? (Hint: there is no satisfactory answer to this question.)

SUCH an exciting evening! Well, night, early morning. But I felt I did have to comment on such interesting news.

But we also have the Press Release:

NEWMARKET, Ontario--(BUSINESS WIRE)--May 10, 1998--Cashco Management, Inc. (OTC BB:CSHK) announced today that it has signed a binding Letter of Intent with Telanis Software Inc. for . . .

Looks to me to be a knowingly misleading statement in the Press Release. Whither goes the truth?
