Yes there was a new rule passed about a one year restriction but I'm not certain what the effective date was.

Reg S filings can be shares, convertible debentures, convertible preferred, options, warrants, etc. They are just sold outside the U.S.

No matter what form it takes, the same result occurs - discount shares being sold into the market - usually preceded by PR of some sort to create buying.
