TORONTO--(BUSINESS WIRE)--April 23, 1998--Mercristo
Developments, Inc. (OTCBB:MDEX) previously announced that
it had submitted a Letter of Intent to acquire 100% of the issued
and outstanding shares of Harding Carpet Canada Ltd.

The Harding Carpet facility, constructed from 1917 to 1920 is
Canada's oldest and most established manufacturer of quality
carpets. The Harding brand is highly recognized throughout
Canada and many other countries, and has been supplying high
quality carpeting to both the residential and commercial markets
for over 75 years.

Harding Carpet Canada Ltd. is located 45 miles west of Toronto
in Brantford, Ontario, Canada. The plant is 385,000 plus square
feet and has production capabilities to produce $150 Million plus
per year in high quality nylon tufted carpet, without any major
capital improvements. The certified replacement cost of the
buildings, land and equipment is appraised at $150-200 Million.

Harding Carpet Canada Ltd. will propel itself into the next
millennium as a result of its current restructuring program which
has been designed and implemented by dedicated personnel. This
restructuring is expected to ensure that Harding will continue as
one of the leading manufacturers of quality carpeting within its
