Excerpted from the press release was the following line: "It has even considered a transaction with Toronto-based Minorca Resources Inc., which owns 14.8% of Dayton, but has decided not to bid."

It sounds like me that Dayton wants to buy Minorca and not the other way around. That would be very bad for Dayton shareholders and it would definitely be dilutive.
