The question of the second largest holder:

Bristol Asset Management. This is unverified but it stands to reason that they are the only ones with enough CLOUT to get Arif's attention.

Would they stand still for a reverse split? Only if they believed it ensured their stake in the company would benefit, also my guess.

Penalty if Arif doesn't comply: Future line of credit needed would dry up and not be available when company needs it in the future.

Of course since this is not a reporting company (or record keeping my guess since Arif has to check his notes) this is speculation.
