Company Press Release

PairGain Ships One Millionth DSL Unit

DSL Market Leader Expands Customer Base Through Technological and Standards Leadership, Expansion of
Product Lines and Superior Customer Support

TUSTIN, Calif--(BUSINESS WIRE)--June 8, 1998--PairGain Technologies Inc. (Nasdaq:PAIR - news) Monday announced the shipment of
its one millionth DSL (Digital Subscriber Line) unit, further establishing the company as the xDSL market leader.

''The one millionth mark represents an important milestone for both PairGain and its customers,'' said Chuck Strauch, chief executive officer
of PairGain. ''Telephone companies have endorsed DSL to the extent it is now considered a mainstream technology and is widely used and
standardized in many areas. No other DSL vendor surpasses PairGain in the volume of installations and experience in this industry.''

As worldwide market demand for DSL equipment has increased, PairGain has continued to maintain market dominance and add functionality
to its four product lines; HiGain(R) T1/E1 access systems, PG-Flex(TM) and PG-Plus(TM) small subscriber carrier systems, campus area
network systems and megabit access solutions. In addition to retaining a loyal customer base with the best technical service support in the
industry, PairGain continues to pass cost savings to customers with consistent price reductions.

The DSL market leader is also committed to maintaining its role as a technological leader, and has led the industry in recent technological
standards including HDSL2, ADSL and G.lite, or ADSL.lite.

PairGain is committed to maintaining market dominance by incorporating the latest technological advancements into its products. A recent
example is the introduction of HiGain '98, the latest evolution of PairGain's market-leading HiGain HDSL T1/E1 systems, widely used by
telephone companies to establish high speed T1/E1 connections for corporate customers worldwide. HiGain '98 offers customers extended
reach, vast reductions in power consumption, and many other features that increase functionality while lowering the costs of deployment.

Similarly, new features are continually added to PairGain's small subscriber carrier systems, PG-Flex and PG-Plus, which allow telephone
companies to quickly respond to the demand for additional phone, fax and computer modem lines in businesses and residences.

PairGain's new Campus-HRS(TM) systems are designed to interconnect LANs and provide remote data and Internet access for private
enterprise networks. Campus-HRS modems are rate selectable and offer private network administrators and managers a single platform
solution for simple deployment within campus area network environments. In addition to establishing high-speed links between LANs and to
the Internet, Campus-HRS systems will be widely used for applications such as fiber backbone extensions, PBX networking, video
conferencing, telemedicine and more.

PairGain was the first DSL vendor to release a single-chip DMT ADSL solution that is being incorporated into its Megabit Access product
line. PairGain offers a wide range of HDSL- and ADSL-based systems to service providers throughout the world. Service providers use
Megabit Access products to establish services for telecommuting and home office applications, such as Internet and remote LAN access.

PairGain's international expansion has increased significantly in recent years. The DSL leader is rapidly establishing a name for itself abroad,
and has won several large tenders from telcos in Latin America, the Caribbean, Europe, the Middle East, Africa, and Asia-Pacific regions.

In addition to international growth, PairGain continues to partner with domestic manufacturers to offer DSL solutions to various niche market
segments. PairGain recently signed an OEM agreement with Nortel (Northern Telecom), who will incorporate HDSL capabilities into its
AccessNode product line, which enables service providers to cost-effectively offer a variety of phone and data services to small and medium
sized businesses.

PairGain remains a technology leader in the DSL industry. Its recent release of the DMT ADSL processor, known as Falcon, supports both
G.lite, the consumer ADSL modem standard, and full-rate ADSL installations that will be deployed by telephone companies, ISPs and private
companies. The success of the DMT ADSL processor was recently advanced with a partnership agreement between PairGain and Rockwell
Semiconductor Systems, the consumer modem giant. PairGain's Falcon will be included in Rockwell's consumer ADSL products, currently in
development.

PairGain is also playing a pivotal role in the development of the new HDSL2 standard. In 1997, a consortium of HDSL vendors including
PairGain, Level One Communications, ADC Telecommunications, and Rockwell gave their support to an HDSL2 standards proposal known as
OPTIS (Overlapped PAM Transmission with Interlocking Spectra). The ANSI T1E1.4 committee accepted the proposal in March of 1998, and
is currently drafting the industry standard for release next year. HDSL2 will allow telephone companies to achieve the same level of
performance using HDSL over a single-pair of copper wires, rather than the two pairs required today.
