Jon,
The discount below current value seems to be typical. Look at USS, for example, selling 6.5% below the stock swap value.
Also, I owned Medco Containment when Merck made the buyout offer I remember the stock jumped from $28 to $35. But that was well below the $39 offer. The stock did bounce around the $35-36.5 range for a couple months then slowly rose to $39 as the consummation date neared. So you can sell here or hold out for another 12% by holding DIGI (hoping ALA does not fall in the meantime).
