Since I have held shares since last year, I have been getting regular company news in the mail. This is the script for it: <May 11, 1998 Dear Shareholder, Harvest Restaurant Group, Inc. (NASDAQ: ROTI,ROTIW,ROTIP,ROTIZ) plans to merge with Atlanta-based Tanners, a twelve year old company which operates a casual dining chain which features rotisserie chicken, fresh vegetables, steaks, ribs, and salads as part of their full menu, which includes beer and wine. Harvest Restaurant Group, Inc. is currently focusing on its food court operations to include bone-in chicken, Red Line hamburgers and Old San Antonio Taco. Harvest is separately closing 2 traditional units. Tanner's is considering opening 2 restaurants in current Harvest locations in San Antonio,which will be the first Tanner's out of state expansion. The Tanner's deal is subject to the signing of a definitive agreement and must be ratified by the shareholders of both companies. Tanner's is currently operating twelve restaurants in Georgia and Alabama, primarily in the Atlanta area, two of which are franchise stores. There are three new stores under development in Canton and Albany, Georgia and in Anniston, Alabama. Two of these stores are franchise stores. Tanner's expects to have annualized sales in excess of $20,000,000 by year-end. Tanner's has opened four new stores since October of 1997; the new free-standing prototype stores are averaging approximately $1,800,000 in annualized sales. Tanner's intends to accelerate its expansion into 1999, both through the opening of additional company stores and through franchising. The completion of the merger will require additional capital for Tanner's expansion. Harvest currently has 2.7 million shares outstanding.
