Midland Co says Chairman/CEO Fisher resigns

HOUSTON, June 8 (Reuters) - Midland Co. said Monday its Chairman and Chief Executive
Daniel Fisher resigned, effective June 5, to pursue other interests.

President and Chief Operating Officer John Spriggs has been appointed to replace Fisher.

The board has also decided to close the Dallas office and move the Headquarters to the Houston
office location, generating savings of $300,000 per year in operating expenses, the company said in
a statement.

The casualty insurer is in negotiations to buy Fisher's 90,000 shares of Preferred B stock. The
company said it expects those negotiations will be successful.

This answer the question on where they plan to get the money to buy back the 90,000 shares.
