The company's shareholders have approved by a majority of 99.8 per cent the previously announced purchase by the company of the remaining interest in the Mina Real concession and a 75 per cent interest in the Nambija I concession from Compania Minera Gribipe, SA in consideration for a total of 3,500,000 shares and 4,000,000 warrants. Gribipe is a major Ecuadorian mineral exploration company. The completion of the transaction is subject completion of a satisfactory due diligence review.
In addition, the shareholders of Zamora (other than Vista Gold and its affiliates) approved by a majority of 97.1 per cent the issuance to Vista Gold of 6.5-million shares as consideration for the settlement of debts in the amount of $1.3-million owing by the company to Vista Gold. Shareholders also approved the continuation of the company into the Yukon Territory.
After completing the private placements to Gribipe and Vista Gold, Gribipe and Vista Gold will own 57 per cent and 26 per cent, respectively, of the outstanding shares. If the warrants issued to Gribipe are exercised, Gribipe and Vista Gold will own approximately 60 per cent and 24 per cent, respectively, of the outstanding shares. Vista Gold currently owns approximately 49 per cent of the outstanding shares of Zamora.
